Terms of Service

StageDue is a software product owned and operated by Ineket Pty Ltd, ABN 12 690 235 682, referred to in these Terms as StageDue, “we”, “us” or “our”.

These Terms govern your access to and use of the StageDue website, application and related services.

By creating an account, accepting a project invitation, purchasing a subscription or accessing StageDue, you agree to these Terms.

Where you use StageDue on behalf of an organisation, you confirm that you are authorised to accept these Terms on behalf of that organisation.

StageDue provides software for managing and delivering projects between service providers, project teams and their clients.

Depending on the selected subscription and configuration, StageDue may provide features for:

• Project onboarding and offboarding
• Project milestones and deliverables
• Client reviews and approvals
• Project messages and notifications
• File storage and document exchange
• Invoices and payment records
• Project activity and audit records
• Project exports and handover
• Third-party integrations

StageDue provides the technology used to record and manage project activities.

StageDue is not:

• A party to the agreement between a project organisation and its client
• The project manager, contractor, consultant or professional adviser
• Responsible for assessing the quality of a deliverable
• Responsible for deciding whether contractual work is complete
• A bank, escrow service or financial institution
• Responsible for resolving project, contractual or payment disputes between users

Users remain responsible for their own project agreements, deliverables, invoices, approvals, tax obligations and payment arrangements.

You must provide accurate and current information when using StageDue.

You are responsible for:

• Protecting your password, access code and invitation links
• Maintaining the confidentiality of your account
• Ensuring only authorised people access your projects
• Assigning appropriate roles and permissions
• Removing access when it is no longer required
• Promptly reporting suspected unauthorised access

Project organisations may invite clients and other users through an account, secure invitation link, access code or another supported access method.

A client may be permitted to access an invited project without purchasing a subscription.

The organisation that creates or manages a project is responsible for determining who may access that project and what those users may see or do.

You must not share an invitation link or access code with anyone who is not authorised to access the relevant project.

“Project Content” includes files, documents, messages, comments, invoices, project descriptions, milestone details, deliverables, images, approvals and other information uploaded to StageDue.

You retain ownership of the Project Content you upload.

You grant StageDue a limited right to host, process, copy, transmit, back up and display Project Content only as reasonably necessary to:

• Provide the StageDue service
• Make content available to authorised users
• Maintain security and backups
• Provide technical support
• Meet legal obligations

You are responsible for ensuring that you have the required authority, permission or consent to upload and share Project Content.

You must not upload content that:

• Is unlawful, fraudulent, misleading or harmful
• Infringes another person’s intellectual property
• Contains malicious software or harmful code
• Violates confidentiality obligations
• Contains personal information you are not authorised to collect or disclose
• Interferes with the operation or security of StageDue

Project organisations are responsible for managing the confidentiality and sensitivity of information uploaded by their users.

StageDue may allow authorised users to:

• Create project milestones
• Upload or submit deliverables
• Request client reviews
• Approve or reject deliverables
• Record milestone completion
• Record invoices and payment status
• Submit project comments or decisions

Actions completed through StageDue create a project record.

An approval, payment record or milestone status within StageDue does not independently replace the underlying agreement between the project organisation and the client.

Users must ensure that anyone approving a deliverable, invoice, payment or milestone is authorised to do so.

StageDue does not independently verify:

• Whether a deliverable satisfies a contract
• Whether an invoice is accurate
• Whether a payment has cleared
• Whether a person has authority to approve work
• Whether a project organisation has fulfilled its professional obligations

The relevant users remain responsible for resolving disagreements about scope, quality, payment, timing or contractual performance.

Subscription prices, billing periods, included features and usage limits will be displayed before purchase.

Unless otherwise stated:

• Prices are displayed in Australian dollars
• GST will be included or added where applicable
• Subscriptions renew for the selected billing period
• The account owner may cancel before the next renewal date
• Cancellation prevents the next scheduled subscription charge
• Access continues until the end of the current paid period unless otherwise stated
• Unused subscription time is not automatically converted into a refund

Any price change will be communicated before it applies to a future renewal.

Refunds, remedies and cancellations will be provided where required under the Australian Consumer Law.

Nothing in these Terms limits any consumer guarantee, right or remedy that cannot lawfully be excluded.

Project organisations may use StageDue to create, upload, issue or display invoices and payment instructions.

The project organisation is responsible for:

• The accuracy of its invoices
• Its pricing and payment terms
• Applicable GST and taxation requirements
• Bank account and payment details
• Refunds and credits
• Payment disputes
• Confirming that payments have cleared

Unless expressly stated otherwise, StageDue does not receive, hold, release or control project funds.

Where a third-party payment provider is connected, payments are processed under that provider’s terms, fees, privacy practices and security controls.

StageDue may record payment information such as:

• Amount
• Date
• Payment status
• Transaction reference
• Payment method
• Related invoice or milestone

A payment marked as paid within StageDue may be based on a user confirmation, integration or payment-provider notification. Users remain responsible for confirming the actual receipt of funds.

You must not use StageDue to:

• Break any applicable law
• Mislead, impersonate or defraud another person
• Gain unauthorised access to an account, organisation or project
• Interfere with StageDue or another user
• Upload malware, viruses or harmful code
• Conduct unauthorised penetration testing or security testing
• Circumvent subscription, access or security restrictions
• Send spam or unsolicited commercial messages
• Collect or disclose personal information without proper authority
• Upload illegal, abusive or infringing content
• Use automated tools in a way that places unreasonable demand on the service
• Copy, scrape or extract StageDue content without authorisation

StageDue owns or licenses the StageDue platform, including its:

• Software
• Source code
• Interface
• Designs
• Documentation
• Branding
• Workflows
• Platform functionality
• Website content

These Terms do not transfer ownership of StageDue to you.

You must not:

• Copy or reproduce the platform
• Reverse engineer or decompile the software
• Resell unauthorised access
• Create an unauthorised competing derivative
• Remove intellectual property notices
• Use the StageDue name or branding without permission

You may provide feedback and suggestions about StageDue.

StageDue may use that feedback to improve the service without identifying you publicly or disclosing your confidential Project Content.

StageDue may provide tools that allow authorised users to close, archive or offboard a completed project.

Depending on the available functionality, project offboarding may include:

• Exporting project details
• Downloading project files
• Exporting milestone and approval records
• Exporting invoices and payment records
• Creating a project handover package
• Removing user access
• Scheduling Project Content for deletion

Users are responsible for downloading any information they are required to retain before the applicable deletion date.

After a project or account is closed, Project Content may remain available for a limited export period.

Project Content will normally remain available for export for 30 days after project or account closure. After that period, the content may be deleted from active systems. Secure backup copies may remain for up to 90 days before being overwritten or deleted.

Some information may be retained where reasonably required for:

• Legal obligations
• Taxation or accounting records
• Security investigations
• Fraud prevention
• Dispute management
• Enforcement of these Terms

StageDue takes reasonable steps to provide a reliable and secure service.

However, StageDue may sometimes be unavailable because of:

• Planned maintenance
• Emergency maintenance
• Security incidents
• Internet or network disruptions
• Cloud service interruptions
• Third-party service failures
• Events outside StageDue's reasonable control

StageDue does not guarantee that the service will always be available, uninterrupted or error-free.

StageDue may make changes reasonably required to maintain the performance, security or functionality.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

To the maximum extent permitted by law, StageDue is not responsible for loss caused by:

• Incorrect or incomplete information entered by a user
• An unauthorised person obtaining access through a user’s credentials
• A dispute between a project organisation and its client
• A user failing to download information before an announced deletion date
• A third-party payment, email, cloud or integration provider
• A user’s breach of law, contract or confidentiality obligations
• A decision made using information recorded in StageDue
• Project delays, scope changes or rejected deliverables

Where a statutory guarantee applies and liability may legally be limited, StageDue's liability may be limited to supplying the service again or paying the reasonable cost of having the service supplied again.

This limitation does not apply where the law does not permit liability to be limited.

You may stop using StageDue or cancel your subscription in accordance with your billing arrangements.

StageDue may suspend or restrict access where reasonably necessary because of:

• A security risk
• Suspected fraud
• Unlawful activity
• Unpaid subscription fees
• A material breach of these Terms
• Misuse of the platform
• A legal or regulatory requirement
• Conduct that threatens StageDue or another user

Where reasonably practicable, StageDue will provide notice and an opportunity to address the issue.

StageDue may terminate an account for a serious or repeated breach of these Terms.

Termination does not remove any payment, confidentiality, intellectual property or legal obligation that arose before termination.

StageDue may update these Terms to reflect changes to:

• StageDue functionality
• Subscription arrangements
• Security requirements
• Operating practices
• Applicable law

The current version and effective date will be published on this page.

Material changes will be communicated before they take effect.

Where a material change substantially disadvantages a paid subscriber, the subscriber may cancel the affected subscription before the change takes effect.

These Terms are governed by the laws of Australia.

You and StageDue submit to the courts of that State or Territory and any courts entitled to hear appeals from them.
